Terms of Sale

Article 1 - Purpose and Nature of Service

These Terms of Sale govern the contractual relationship between KeyQo, publisher of the professional event management software accessible at keyqo.io (hereinafter "the Software"), and any professional subscribing to a subscription (hereinafter "the Client").

KeyQo is exclusively a SaaS (Software as a Service) management tool. KeyQo is in no way a marketplace, a matchmaking platform, a payment intermediary, a payment institution, or a payment services agent.

Any subscription implies unreserved acceptance of these Terms of Sale.

Article 2 - Services Offered

KeyQo offers a SaaS software for professional event management including:

  • An interactive drag & drop floor plan editor
  • Booth and zone management
  • Exhibitor profile management (contacts, documents)
  • Administrative booking tracking
  • Document generation tools (quotes, invoices)
  • Email sending to exhibitors
  • An analytics dashboard
  • An administration back office
  • A personalized exhibitor portal

The Software does not provide any payment, collection, or fund transfer services. All financial transactions between the Client and their exhibitors are carried out directly between these parties, outside the Software, according to the terms defined by the Client.

Article 3 - Plans and Pricing

KeyQo offers several subscription plans:

  • Essential: 1 active event, up to 50 booths, 1 user
  • Pro: 5 active events, up to 200 booths per event, 3 users
  • Organizer: Unlimited events, unlimited booths, unlimited users

Prices are available upon request and will be announced at commercial launch planned for 2026. Prices are expressed in euros excluding taxes. Applicable VAT will be added at the current rate.

Article 4 - Payment Terms

Payment is made by bank transfer or credit card according to the terms chosen during subscription. The subscription can be monthly or annual.

In case of late payment, late payment penalties will be applied at a rate of 3 times the legal interest rate. A fixed compensation of €40 for recovery costs will also be due.

Article 5 - No Financial Intermediation

KeyQo is a management tool and does not intervene in any way in financial transactions between the Client and their exhibitors. No exhibitor payment passes through KeyQo.

The Client is solely responsible for collecting payments from their exhibitors, according to the terms they freely define (transfer, check, cash, etc.). KeyQo does not receive any commission, fee, or percentage on these transactions.

The payment tracking features offered by the Software are purely informational and administrative. They allow the Client to track the status of their receivables but do not involve any handling of funds by KeyQo.

Article 6 - Duration and Renewal

The subscription is taken out for an initial period of one month or one year depending on the plan chosen. It is automatically renewed for an identical period, unless terminated by either party with 30 days notice before expiry.

Article 7 - Right of Withdrawal

In accordance with French consumer law, the right of withdrawal does not apply to contracts for the supply of digital content not provided on a tangible medium, where execution has begun with the consumer's agreement.

However, KeyQo offers a 14-day money-back guarantee from the first subscription for new clients.

Article 8 - Liability

KeyQo undertakes to implement all necessary means to ensure the availability and security of the Software. KeyQo's liability is limited to direct and foreseeable damages resulting from a proven breach of its contractual obligations.

KeyQo cannot be held responsible for:

  • Contractual or commercial relationships between the Client and their exhibitors
  • Disputes relating to payments between the Client and their exhibitors
  • The Client's failure to fulfill their obligations to their exhibitors
  • Indirect damages, data loss, loss of revenue or business opportunities

The Client remains solely responsible for organizing their events and their relationships with their exhibitors.

Article 9 - Personal Data

The processing of personal data is governed by our Privacy Policy. Data is hosted in France and processed in accordance with GDPR.

Article 10 - Intellectual Property

All elements of the Software (software, databases, texts, images, design) are the exclusive property of KeyQo. The Client benefits from a non-exclusive and non-transferable right of use for the duration of their subscription.

Article 11 - Termination

In case of serious breach by either party of its obligations, the other party may terminate the contract by right after a formal notice that has remained unsuccessful for 15 days.

Following termination, the Client has 30 days to retrieve their data. After this period, the data will be deleted.

Article 12 - Applicable Law and Jurisdiction

These Terms of Sale are governed by French law. Any dispute relating to their interpretation or execution falls under the exclusive jurisdiction of the courts of Grenoble, France.
